KANSAS CITY, Mo. — AMC Entertainment Inc. (the “Company”) (AMEX:AEN), Marquee Holdings Inc. and Marquee Inc. (Marquee Holdings Inc. and Marquee Inc., together, the “Offerors”) announced that (i) Marquee Inc. has commenced an offering of $150 million aggregate principal amount of its Senior Notes due 2012 and $305 million aggregate principal amount of its Senior Floating Rate Notes due 2011 and (ii) Marquee Holdings Inc. has commenced an offering of its Senior Discount Notes due 2014, which will generate aggregate gross proceeds of $170 million, each in a private placement offering. The net proceeds from the sale of each series of senior notes in the offerings are expected to be used to finance, in part, the acquisition of AMC Entertainment Inc. by Marquee Holdings Inc., a newly created investment vehicle owned by affiliates of J.P. Morgan Partners, the private equity arm of JPMorgan Chase Co., and affiliates of Apollo Management, L.P., a private investment firm. The closing of the merger is subject to certain terms and conditions customary for transactions of this type, including receipt of shareholder and regulatory approvals and the completion of financing. Upon consummation of the offerings of the senior notes by each of Marquee Inc. and Marquee Holdings Inc., the proceeds will be deposited into separate escrow accounts for the benefit of the holders of each series of notes pursuant to the terms of separate escrow agreements. Each of the escrow agreements will provide that the escrow agent may only release the escrow proceeds upon the earlier of (1) January 31, 2005, and (2) the satisfaction of certain conditions, including, among other things, the completion of the merger between AMC Entertainment Inc. and Marquee Inc., a wholly owned subsidiary of Marquee Holdings Inc., with AMC Entertainment Inc. remaining as the surviving entity (the “Merger”) and related transactions. Upon release of the escrow funds, Marquee Inc. and Marquee Holdings Inc. intend to apply the net proceeds from the offerings to the consideration to be paid to AMC Entertainment Inc.s shareholders in the Merger and to pay the related fees and expenses. Keywords: medical education, training of service providers, sexual and reproductive health curriculum MEDICAL educators have a responsibility to train physicians and other health professionals in the core competencies needed to improve the sexual and reproductive health of their communities. One of the distinguishing features of the International Conference on Population and Development (ICPD) in Cairo in 1994, (1) and its five-year follow-up by a special session of the UN General Assembly in 1999 (ICPD + 5) (2) is that they moved beyond rhetoric to define reproductive health, including sexual health, in the context of primary health care and to provide countries with specific goals, objectives, and targets, in order to provide quality sexual and reproductive health information and services. These reflect an international consensus on what needs to be achieved, requiring a combination of programme initiatives, public health policies, legislation, educational capacity building and community-wide efforts. Until recently, little interest has been expressed by medical educators in integrating sexual and reproductive health in the medical curriculum. Significantly, no international group that is representative of medical educators or the medical profession attended either ICPD in 1994 or the 1999 Special Session of the UN General Assembly, with the exception of the Commonwealth Medical Association.
iHealth, an online suite of medical
practice web sites and secure patient email services provided by Medem is
now integrated with Google Health, a new product that allows users to
store, organize and manage their medical records and personal health
information online. Medem is a healthcare IT company founded by leading
medical societies, including the American Medical Association (AMA).
The iHealth collaboration with Google allows Google Health users to share
information in their Google Health profile with doctors using the iHealth
web product. This in turn helps keep doctors up-to-date on current medical

Since the late 1980s, the increased turnover and exposure associated with payment settlements has led to a stronger focus on risk and to major changes in the organisation of payment systems, both nationally and internationally. In order to reduce settlement risk, standards were introduced for net settlements. The most important of these is the Lamfalussy standard (BIS 1990)2) . Net settlements must satisfy six recommendations concerning legal, organisational, liquidity and operational conditions in order to be regarded as protected net settlements according to this standard. In the Trundle Report (BIS 1999 and 2001) these recommendations have been made more specific and expanded to the ten BIS Core Principles for Systemically Important Payment Systems. The Trundle recommendations encompass both gross and net settlements and also contain recommendations concerning the central banks role in the payment system and responsibility for the implementation of the core principles. Central to both Lamfalussy and Trundle recommendations is the requirement that it must be possible to make a settlement even if the bank with the largest net debit position lacks cover. The principle is that settlement execution should be assured by the other participants supplying liquidity on behalf of the illiquid participant (collective guarantee). The amount of liquidity individual participants have to supply will tend to depend on the size of the bilateral credit lines they have given the bank that cannot meet its commitments. It must be assumed that in principle a bank will not provide lines of credit that cause it to have problems meeting its own commitments. However, the possibility of more than one participant failing cannot be excluded. In such cases, even protected net settlements may involve too great a risk. In consequence it is recommended that real time gross settlement (RTGS) be used for large-value payments.

Layers and layers of old paint on top of cedar shingles were beginning to cause problems; the shingles needed to be stripped. Each one was sanded to remove the old paint and expose the cedar. This was a messy project that would have destroyed a nice landscape, so it was one of the first jobs to be completed. After the cleaning, instead of repainting the house and covering the exposed cedar shingles, they used a translucent stain to allow the wood grain to show through. They chose a white stain because it gave the wood a pickled look. Joel and Laura spent a lot of time and put a lot of thought in selecting the right stain. Their advice: Drive around several neighborhoods and look at other houses and see what colors and combinations appeal to you. Then go to a home-improvement center and pick up a handful of small paint and stain samples. See what looks good on your house and on your shutters and trim.

WHAT IS CORPORATE EDUCATION?This report discusses the extensive education and training programs established and run by corporations and other organizations, largely profitmaking enterprises whose primary purpose is something other than education, in the context of traditional higher education. As used in this report, “corporate education” is education offered by a business or industry for its own employees.HOW EXTENSIVE IS CORPORATE EDUCATION?Corporate education is an extensive, multifaceted endeavor, costing billions of dollars, educating millions of people, and absorbing many working hours annually.It is estimated, for example, that approximately $30 billion to $50 billion is spent on formal employee education and $180 billion on informal, on-the-job, education. Employees in companies with 500 or more employees–4.4 million people–can expect to receive frequent instruction paid for and provided by their employers.IS CORPORATE EDUCATION A THREAT TO HIGHER EDUCATION?As colleges and universities strive to respond to the needs of nontraditional students, they often find that corporate educators have preceded them. Corporations, with the assistance of the American Council on Education and the New York Board of Regents, have had their courses evaluated, frequently leading to the granting of credit for corporate coursework by colleges and universities.Courses offered by corporations range from remedial to postgraduate level management and technical courses. Corporations have even founded their own colleges, known as “corporate colleges.” These educational efforts potentially could threaten the health, and devalue the worth of, higher education, but in fact, corporate education is compatible with–indeed complements–traditional higher education. Higher education in the United States has been responsive to the needs of the workplace since the beginning of the federal period. The prevailing dialogue in higher education has long been the weighing of tradeoffs–practically and philosophically–between general education and what now is called “career education.” The formal recognition of instruction independent of the providers is a multifaceted and complex enterprise on the postsecondary education scene in and of itself. These efforts have accomplished two things. First, the structural conformity of noncollegiate instruction with collegiate instruction (for example, associating credit hours with contact hours) facilitates transfers and students mobility and opens up an array of potential cooperative efforts between businesses and colleges. Second, they have served as a major channel of communication between school and corporation about educational content and methods. This report presents the interaction between corporate education and these recognition processes, a path by which noncollegiate education can wend its way into the most traditional patterns of higher education. Innovations find their way into higher education in five ways, one of which is when external institutions appear on the scene to challenge, titillate, and/or draw attention to significant issues.The emergence of corporate education with its interest in formal recognition offers opportunities and challenges to higher education in the way it teaches, the students it seeks, and the perception of the purposes of education. The growth of corporate education is a stimulus to both internal collegiate debates and public policy decision making.WHAT CAN BE EXPECTED FROM THE PROLIFERATION OF CORPORATE EDUCATION?Many profitable educational ventures have been initiated that were provoked by employers recognition of their responsibility for developing their employees. The American University, for example, using its own faculty, offers an MS in toxicology at Litton Industries, and the Massachusetts Institute of Technology cooperates in an education program with IBM and Digital Equipment. An indirect benefit to colleges resulting from an increased awareness of conditions in higher education on the part of business and industry has been the use of modern technology by colleges and universities to educates future employees. The California Association for HPERD believes adapted physical education is one of the program options available to students with disabilities who are eligible for special education. Direct service Adapted Physical Education is provided by a credentialed Adapted Physical Education specialist to students who have needs that cannot be adequately addressed in other physical Education programs. In addition to Adapted Physical Education, other service delivery options include Adapted Physical Education collaboration and Adapted Physical Education consultation, specially designed physical education, modified physical education, and general physical education. Provision of Adapted Physical Education is based on the same process of referral, assessment, and individual program planning that other special education services follow. An assessment and evaluation of motor skills performance is considered by the Individualized Education Program team in determining provision of service. The individualized plan is developed through an assessment process that may include test administration, observation, record review, diagnostic teaching, and collection of information from other service providers, the student, and his/her family. Adapted Physical Education is an instructional program within the spectrum of physical education options taught by a credentialed Adapted Physical Education Specialist. The Adapted Physical Education Specialist provides curriculum-based and prescriptive instruction for individuals identified as eligible for services. Each specialist works within a comprehensive service delivery model which complies with legal mandates for educational service for individuals with disabilities. In addition, services may be supplemented through the collaborative model with a variety of team members (such as teachers, language speech specialists, psychologists, parents, occupational therapists and physical therapists, medical personnel, and others) to provide an integrated and consistent program for individuals with disabilities. The physical education curriculum includes, but is not limited to, basic locomotor patterns and skills, object control skills, rhythms and dance, aquatics, physical and motor fitness, and games. The unique and specific needs of individuals with disabilities may require accommodations and adaptive techniques or strategies to provide effective instruction in developmentally appropriate skills, functional skills, and age appropriate skills within the least restrictive environment. Instruction in Adapted Physical Education provides the foundation for learning and performing psychomotor skills, so that individuals with disabilities can more fully, safely, and with satisfaction participate in movement programs, recreation, sport, and physical fitness activities. The Adapted Physical Education Specialist teaches in all domains of learning with an emphasis on the psychomotor area. Instruction is provided in communication, cognition, social, behavioral, perceptual, and daily living domains, in addition to physical and motor skills. Student preferences and interests are considered in program planning, as well as coordination of services and resources.

In her book, In Fairness to Future Generations: International Law, Common Patrimony, and Intergenerational Equity, Professor Edith Brown Weiss describes a theory of intergenerational equity in which: As we begin a new millenium, it is no mystery that human demands on Earths natural systems have reached unsustainable levels, resulting in environmental trends such as “population growth, rising temperature, falling water tables, shrinking croplands per person, collapsing fisheries, shrinking forests, and the loss of plant and animal species.” (2) Vast improvements in technology, proven to be a mixed blessing, account for part of the problem. The global economy also plays a significant role: the market, although “a remarkably efficient device for allocating resources and for balancing supply and demand. does not respect the sustainable yield thresholds of natural systems.” (3) If we do not want to pass the point of no return and head towards ecological disaster, we must develop a policy ethic sensitive to the “basic features of the natural world: we will never understand it completely, it will not do our bidding for free, and we cannot put it back the way it was.” (4) Equally important, we must alter the way we view the global economy and find new ways to finance projects to protect what has not yet been destroyed. Conservation trust funds are one financing mechanism that has been recently employed, building on lessons learned from other models in the areas of conservation and development. Conservation trust funds are well suited to conserving natural resources due to their long time frame, their stable and enduring structure, and their ability to build local capacity in order to sustain it independent of outside agencies. As Professor Weiss points out, “[t]he basic principle of intergenerational equity requires that the present generation compensate future generations for the costs that it imposes on them for its own use of the planet and natural and cultural resources.” (5) This is precisely what conservation trust funds set out to do. This article will discuss the origins of the trust fund concept and the development of trust funds in the context of conservation. It will highlight the basic principles that should be taken into consideration and the issues to be addressed in designing the framework of a trust fund. Finally, this article will describe concrete steps to developing and implementing a trust fund, and relate through specific case studies some of the lessons learned from past experiences.
